Fox Corporation and Roku today announced they have entered into a definitive agreement under which FOX will acquire Roku for US$160.00 per share in a combination of cash and FOX Class A common stock, valuing Roku at approximately US$22 billion in enterprise value.

The transaction combines FOX’s leading sports, news and entertainment content and the Tubi service, with Roku’s leading connected TV platform, The Roku Channel, first-party data and direct relationship with more than 100 million global streaming households. Together, FOX and Roku will create a scaled next-generation media and technology company positioned at the intersection of two of the most important forces reshaping video consumption: the enduring primacy of live sports and news, and the continued rise of streaming.

FOX and Roku are committed to continuing to operate Roku as an open, partner-friendly platform and to the continued ubiquitous distribution of FOX content. On a pro forma basis, the combined company will become the third-largest player in U.S. television by share of viewing, with an attractive mix of FOX’s sports, news, and entertainment content, alongside streaming services Tubi and The Roku Channel. That distribution and engagement scale spans every major viewing environment – broadcast, cable, local and streaming – creating broad and diversified reach that benefits viewers, partners and advertisers.

Lachlan K. Murdoch, Executive Chair and Chief Executive Officer of Fox Corporation, said: “This is a defining moment for FOX, and a natural extension of the deliberate and focused strategy we have been executing for nearly a decade. In 2019, we reoriented the company around live news and sports. In 2020, we acquired Tubi and under our stewardship it has become one of the most successful businesses in streaming. Today, we take the next step: bringing together the most valuable live content portfolio in video consumption with the preeminent streaming platform through which America watches it. This combination will transform the scope of our company into high-growth verticals and yield a step change in our overall growth profile. And we are executing this acquisition from a position of financial strength – maintaining our investment grade balance sheet while providing our shareholders with an uninterrupted return of capital program in the form of share buybacks and dividends. Roku pioneered streaming TV and scaled it into a leading CTV platform. Together, we intend to lead its next chapter.”

Anthony Wood, Founder, Chairman and Chief Executive Officer of Roku, said: “Over the past two decades, we’ve built Roku into the leading TV streaming platform, reaching more than 100 million households globally and reshaping how people discover and enjoy entertainment. I’m incredibly proud of what our team has built, and the combination with FOX is an extraordinary opportunity to accelerate our vision, scale faster and innovate more aggressively for viewers, partners and advertisers. That’s why our Board of Directors unanimously determined after concluding its strategic review process that this transaction offers a significant premium to Roku shareholders while also providing them with the opportunity to participate in the compelling future upside of the combined company. I couldn’t be more excited about what we’ll accomplish together.”

Roku Founder, Chairman and Chief Executive Officer Anthony Wood will have an ongoing role at the combined company and will join the FOX Board of Directors following the close of the transaction.

The transaction is subject to customary closing conditions, including approvals by FOX and Roku shareholders, receipt of U.S. and certain non-U.S. regulatory approvals and other customary conditions.

Roku, the leading TV streaming platform in the United States, Canada, and Mexico, has announced the launch of Howdy, a new subscription video-on-demand (SVOD) service that promises high-quality entertainment with no ad interruptions.

Available nationwide in the US, Howdy offers unlimited access to a growing content library, with nearly 10,000 hours of entertainment and thousands of titles from inaugural partners such as Lionsgate, Warner Bros. Discovery, and FilmRise, as well as select Roku Original titles.

Among the highlights are award-winning films like Mad Max: Fury Road and The Blind Side, series such as Weeds and Kids in the Hall, plus ‘90s comedies, medical dramas, feel-good classics, and more.

“Priced at less than a cup of coffee, Howdy is ad-free and designed to complement—not compete with—premium services,” said Anthony Wood, Founder and CEO of Roku. “Howdy addresses a real need for consumers: to enjoy their favorite movies and shows without interruptions and on their own terms.”

Simple, accessible streaming with no contracts

Howdy aims to be an affordable alternative in an increasingly crowded market of high-priced streaming platforms.

Industry partners also celebrated the launch. Jim Packer, President of Worldwide Television Distribution at Lionsgate, said: “With more than 125 million people using Roku daily, this platform is the perfect place to launch a more accessible alternative to traditional SVODs. We expect Howdy to scale quickly and create new monetization opportunities for our content.”

Johnny Holden, Chief Revenue and Strategy Officer at Radial Entertainment (FilmRise), added: “Howdy allows an even wider audience to access the most beloved content from our catalog.”

Times Square presence and future expansion

To mark the launch, Howdy will take over Times Square from August 5 to 31 with a digital billboard campaign promoting the service and its top titles. Initially, Howdy will be available on the Roku platform, with plans to expand to mobile devices and other platforms in the near future.

The launch of Howdy is part of Roku’s broader strategy to boost platform monetization, alongside other services such as The Roku Channel (the most-watched FAST service in the US) and Frndly TV (the second most popular live TV streaming service among cord-cutters).

Global film and TV studio Fifth Season has secured an extension to its existing partnership with Roku, which sees Latin American and Canadian rights plus new seasons and series added to the companies’ current agreement, under which Fifth Season serves as Roku’s international format and tape distribution partner for a slate of unscripted Roku Originals worldwide. Additionally, Fifth Season has secured a raft of international sales across Roku’s slate.

Fifth Season currently handles Roku Originals including: Jessica Alba and Lizzy Mathis’ Honest Renovations; all-star survivalist competition Fight to Survive, Morimoto’s Sushi Master with Iron Chef legend Masaharu Morimoto; Celebrity Family Food Battle executive produced by Sofia Vergara and hosted by Manolo Gonzalez Vergara; social media sensation Jay Brewer’s Reptile Royalty; and football stars turned bakers Brian Rak Orakpo and Michael Griff Griffin in The Cupcake Guys.

Prentiss Fraser, President of TV Distribution at Fifth Season, said: “Since the start of our partnership with Roku, we’ve had significant interest from buyers internationally in this slate – who are drawn to these elevated and aspirational shows fronted by some of the biggest household names in Hollywood. As we build on the strong start of our collaboration with our first wave of sales, it’s a testament to the success of this partnership that Roku is already expanding our territory rights into Canada alongside Latin America – a major market we as Fifth Season are significantly deepening our presence in.”

David Eilenberg, Head of Content, Roku Media, said: “We’re delighted to further expand our partnership with Fifth Season and for the opportunity to work with them to connect even more global audiences with our impressive slate of originals.”

Additionally, Fifth Season has secured a raft of multi-title sales across Roku’s unscripted originals, including with: Corus (Canada), NRK (Norway), SVT (Sweden), Now TV (Hong Kong), Mediacorp TV (Singapore), RTL Deutschland (Germany), Seven. One Entertainment Group (Germany), The Walt Disney Company Limited (Mena), M6+ (France and French-Speaking Europe) and Play Media (Belgium).
